Many of Royse Law Firm’s clients are engaged in International operations and transactions, varying in complexity from simple formation of distribution or cost centers to complex international joint ventures. Our attorneys participate in a wide international network to provide clients with resources, ideas and local connections. We regularly advise on US aspects of international transactions in the following areas:

Mergers and Acquisitions: We have represented foreign acquirers as well as US targets of foreign acquirers. Cross border acquisitions are exponentially more complicated than purely domestic acquisitions due to the need for familiarity with the laws of foreign jurisdictions, cultural sensitivities, and additional taxing regimes. Because of our substantial experience, scope of practice and tax knowledge, Royse Law Firm is well known for its M&A expertise in the international arena.

Cross Border Licensing and IP Strategy: We are asked to advise US and foreign parties on US issues relating to licensing of technology, both within and outside of the United States. We are familiar with withholding tax regimes and alternative planning structures for offshore intellectual property and technology transactions.

India/Asia/Europe Practice: Many of our clients are companies from India and Asia who are doing business in the United States as well as US companies that seek to expand internationally. We “team up” with foreign legal and tax counsel to ensure seamless advice on country specific cross border transactions. Our lawyers are well versed in transactions between the US and India, China and Europe.

Tax Matters: We regularly advise on  tax sensitive international structures such as foreign fund formation, offshore IP holding companies and inbound structures. We are also well known for providing advice on the tax aspects of international transactions, addressing issues such as transfer pricing, effectively connected income, and foreign investment in US real estate (FIRPTA).

International Gift and Estate Planning: Special rules apply to international gift and estate plans. Our estate planning group regularly deals with non-resident alien grantors, trustors and beneficiaries. Many of our clients are grantors or beneficiaries of trusts formed under or subject to foreign law.
